[Private Brand Club Agreement]
This Agreement ("Agreement") is entered into by and between Monart Capital Pty Ltd ACN: 33 663 502 083, hereinafter referred to as "Monart Capital," and the undersigned individual or entity, hereinafter referred to as "Member."
1. MEMBERSHIP
1.1. Duration of Membership: The membership term shall be for a period of 12 months, commencing from the effective date of this Agreement.
1.2. Membership Fee: The Member agrees to pay a membership fee of $8888 (AUD) to Monart Capital Pty Ltd.
2. CLUB BENEFITS
2.1. Access to Private Club App Channel:

• The Member shall have exclusive access to the Private Brand Club app channel, providing a platform to engage with other members and conduct brand-related transactions.

2.2. Buy, Sell, or Request Your Brand:

• The Member shall have the privilege to buy, sell, or request specific brands within the Private Brand Club, facilitating seamless transactions.

2.3. Private Club Referral Benefits:

• For each successful referral of a new member to the Private Brand Club, the Member shall receive a 20% brand buying credit of their membership fee, applicable to their next brand purchase within the club.

3. CONFIDENTIALITY
3.1. Confidentiality Obligation:

• The Member agrees to maintain the confidentiality of any proprietary, sensitive, or non-public information related to the Private Brand Club, its members, and transactions, and not to disclose such information to any third party without prior written consent from Monart Capital.

4. TERMINATION OF MEMBERSHIP
4.1. Voluntary Termination:

• The Member may terminate their membership by providing a written notice to Monart Capital, subject to a 30-day notice period.

4.2. Breach of Terms:

• Monart Capital reserves the right to terminate the membership of any Member found in violation of this Agreement, including failure to adhere to confidentiality obligations, misuse of club benefits, or any breach of the terms outlined herein.

5. GENERAL PROVISIONS
5.1. Governing Law:

• This Agreement shall be governed by and construed in accordance with the laws of the state of South Australia, Australia.

5.2. Entire Agreement:

• This Agreement constitutes the entire understanding and agreement between Monart Capital and the Member, superseding any prior or contemporaneous agreements, representations, warranties, and understandings.
